General Information

The Alberta Dental Association (the “ADA”) offers access to www.albertadentalassociation.ca (the “Website”) to you on the condition of your acceptance of these Terms of Use and Website Privacy Policy, and your use of the Website constitutes your agreement to them. If you disagree with these Terms of Use or Website Privacy Policy, you must cease using the Website. 

Prohibited Uses: 

As a condition of your use of the Website, you warrant to the ADA that you will not use the Website for any purpose that is unlawful or prohibited by these Terms of Use. You may not use Website in any manner which could disable, overburden, damage, or impair the Website or interfere with any other party’s use and enjoyment of the Website. You may not obtain or attempt to obtain any materials, content, or information through any means not intentionally made available or provided through the Website. You may not use scrapers, bots, spiders, or other automated tools to collect or index the content of the Website without the ADA’s express permission. Your use of the Website is strictly for your personal, non-commercial use, unless otherwise authorized in writing by the ADA. 

You must not (without prior authorization) republish material from the Website, sell, rent or sub-license material from the Website, reproduce, duplicate or copy material from the Website or redistribute content from the Website. 

Intellectual Property Reservation: 

The material and content accessible through the Website including without limitation all Intellectual Property in or related thereto, whether software (whether in object code, source code, or mark-up language form), photos or other images, video, audio, text, or otherwise (the “Content”), whether provided by the ADA or another user, is the proprietary information of the ADA or the party that provided or licensed the Content to the ADA, whereby such providing party retains all right, title, and interest in the Content. Accordingly, the Content may not be copied, distributed, republished, uploaded, posted, or transmitted in any way outside of the normal functionality of the Website without the prior written consent of the ADA.  Modification or use of the Content except as expressly provided in this Agreement violates the ADAs’ Intellectual Property rights or the rights of its licensors. Neither title nor Intellectual Property rights are transferred to you by access to the Website.  

“Intellectual Property” as used herein means any and all of the following in any jurisdiction throughout the world and all rights in, arising out of, or associated therewith: (a) patents, utility models, and applications therefor, and all reissues, divisions, re-examinations, renewals, extensions, provisionals, continuations and continuations-in-part thereof, and equivalent or similar rights anywhere in the world in inventions and discoveries, including invention disclosures; (b) all trade secrets, inventions (whether or not patentable and whether or not reduced to practice), and other rights in know-how and confidential or proprietary information; (c) all marks, works, works of authorship and copyrights, registrations and applications therefor, and all other rights corresponding thereto (including moral rights), throughout the world; (d) rights in software (including without limitation APIs, source code, object code, and mark-up language); (e) rights of publicity, personality, identification, or similar personal or group attributes; (f) trade names, logos, common law trademarks and service marks, trade dress, trademark and service mark registrations, and applications therefor and any goodwill associated therewith; and (g) any similar, corresponding, or equivalent rights to any of the foregoing and any other intellectual property or proprietary rights throughout the world.

Contributions: 

You may have the ability to post information or statements to the Website. The ADA does not screen, edit, publish or review information or statements prior to their appearance on the Website and information or statements posted by others do not reflect the views or opinions of the ADA, its agents or affiliates. Statements reflect the view and opinion of the person who posts such view or opinion. To the extent permitted by applicable laws, the ADA shall not be responsible or liable for the information or statements or for any loss cost, liability, damages or expenses caused and or suffered as a result of any use of and/or posting of and/or appearance of the information and statements on the Website. The ADA reserves the right to monitor all information and statements posted by others and to remove them if they are inappropriate for any reason.

You may only post information on the Website if (a) you have all of the necessary licenses and consents to do so; (b) the information does not infringe any intellectual property right, including without limitation copyright, patent or trademark, or other proprietary right of any third party; (c) the information does not contain any defamatory, libellous, offensive, indecent or otherwise unlawful material or material which is an invasion of privacy; and (d) the information will not be used to solicit or promote business or custom or present commercial activities or unlawful activity.

You hereby grant to the ADA a non-exclusive, perpetual, royalty-free license to use, reproduce, edit and authorize others to use, reproduce and edit any of your information or statements in any and all forms, formats or media. 

You agree to indemnify and save harmless the ADA, its shareholders, directors, officers, employees, agents, volunteers and guests, from and against all liabilities and responsibilities respecting any information, statement, data, photos or other records posted by you to the Website. 

Disclaimer of Liability: 

The ADA does not guarantee or warrant that the Website will be free of viruses, worms, Trojan horses, or other code that may manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to the Website for any reconstruction of any lost data. The ADA does not assume any responsibility or risk for your use of the Internet.

YOUR USE OF THE WEBSITE IS AT YOUR OWN RISK. THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED. THE ADA DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT IN RELATION TO THE WEBSITE AND THE CONTENT. THE ADA DOES NOT WARRANT THAT THE FUNCTIONS OR CONTENT CONTAINED IN THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE ADA DOES NOT WARRANT OR MAKE ANY REPRESENTATION REGARDING USE, OR THE RESULT OF USE, OF THE WEBSITE OR CONTENT IN TERMS OF ACCURACY, RELIABILITY, OR OTHERWISE. THE CONTENT MAY INCLUDE TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS, AND THE ADA MAY MAKE CHANGES OR IMPROVEMENTS AT ANY TIME. YOU, AND NOT THE ADA ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION IN THE EVENT OF ANY LOSS OR DAMAGE ARISING FROM THE USE OF THE WEBSITE OR ITS CONTENT. The ADA disclaims, on its behalf and on behalf of its shareholders, directors, officers, employees, agents, volunteers and guests, liability for any damages, claims or injuries, whether direct, indirect, special, incidental, punitive or consequential, suffered by you or any other person relating in any way to: 

  • any actions taken in partial or full reliance upon any information provided in the Website; 
  • any errors, inaccuracies, inconsistencies or misstatements contained in this Website;
  • the suitability for any purposes of any products, materials, services or information referenced or contained within this website;
  • computer viruses or delays in transmission or operation in relation to the Website;
  • unauthorized use of, or reproduction of, any information from the Website; or 
  • any third-party information, advice, products or services on the Website or any linked websites.

Remedy: 

If you disagree with the contents of the Website, these Terms of Use or the Website Privacy Policy, your sole and exclusive remedy is to discontinue using the Website.

Please review our Website Privacy Policy for information concerning the collection, use and disclosure of personal information with regards to the Website. The Website Privacy Policy is incorporated into these Terms of Use.

Linked Websites: 

The Website may contain links to third-party websites. Any such links shall not represent an endorsement of a product, service or third party. As well, third-party websites may link to the Website. The ADA has no control over the content of third-party websites. Therefore, The ADA assumes no responsibility or liability for the material on any linked websites.

You are granted a limited, revocable, and nonexclusive right to create a hyperlink to the Website, so long as the link does not portray the ADA, its directors, its members, its employees, or its content, products or services in a false, misleading, derogatory, or otherwise offensive manner. You agree to discontinue such hyperlinks if directed to do so by the ADA.

Security: 

The ADA cautions users of the Website that internet communications are inherently vulnerable to interception, use, and/or alteration by person(s) other than the intended recipient(s). While the ADA has implemented certain safeguards to reduce this risk, internet transmissions are still vulnerable. If you choose to use the Website, you do so at your sole risk.

Changes: 

The Website, these Terms of Use, and the Website Privacy Policy may be updated from time to time, without notice to you. It is your responsibility to ensure that you continue to agree with them.

Termination: 

The ADA may terminate your right to access the Website at any time in its sole discretion and without cause or for a breach of these Terms of Use. 

Jurisdiction and Interpretation:

By using the Website, you attorn to the jurisdiction and law of Alberta to settle any dispute that arises through your use of the Website in Alberta’s courts. This provision prevails notwithstanding different conflicts of law provisions that may be applicable in your state, province, region, or country etc.
